QiKIOU Business Terms
1. About these Terms
These Business Terms govern access to and use of QiKIOU by a participating business. QiKIOU is operated by Spydore Pty Ltd (Spydore, we, us or our).
By creating a QiKIOU business account, the person accepting these Terms confirms that they are authorised to enter into this agreement on behalf of the business identified during registration.
These Terms form a contract between Spydore Pty Ltd and that business. They should be read together with the QiKIOU Privacy Policy and any additional terms presented for optional services or third-party Connections.
2. QiKIOU service
QiKIOU provides technology for loyalty programs, customer rewards, points, stamps, vouchers, gifts, promotions, pay-it-forward features, customer engagement, reporting and related services.
Features may differ between businesses, plans, locations, integrations and stages of product development. We may improve, add, remove or change features where reasonably necessary to operate, secure or develop the service.
3. Your business account
The business must provide accurate registration information and keep its account and contact information reasonably current.
The business is responsible for activity performed by its authorised administrators, managers, staff and devices. Account credentials, PINs, access links, tokens and connected-service authorisations must be kept secure and must not be knowingly shared with unauthorised persons.
The business must promptly tell us if it becomes aware of suspected unauthorised access, compromised credentials or misuse of its QiKIOU account.
4. Authority and authorised users
The person creating the business account warrants that they have authority to bind the business to these Terms.
The business is responsible for deciding who may act as an owner, administrator, manager, supervisor or staff user and for removing access when it is no longer appropriate.
We may rely on instructions submitted through an authenticated business account unless we know, or reasonably suspect, that the instruction is unauthorised, unlawful, fraudulent or technically invalid.
5. Loyalty program settings, points availability, refunds and approval controls
Each business controls the commercial settings of its own loyalty program, including qualifying purchases, earning rules, points or stamps awarded, rewards, redemption conditions, expiry rules, exclusions, promotions, points availability periods, high-value approval settings and customer-facing wording.
For a Points program, QiKIOU provides points-availability choices of 0, 14, 30, 60 or 90 days. Unless the business selects another available period, the QiKIOU default is 0 days. At 0 days, eligible points may be available for the customer to spend immediately after they are earned.
Where a business selects 14, 30, 60 or 90 days, eligible purchase points may be displayed to the customer as pending during that period. Pending points are not available to spend until the applicable availability period has elapsed. As points mature, the available balance increases and the pending balance decreases.
Where points from a purchase have become available and the underlying purchase is later refunded, reversed or otherwise adjusted through a supported Connection, QiKIOU may record a corresponding points reversal or adjustment linked to the original transaction. A full refund may reverse all points attributable to that purchase and a partial refund may result in a proportionate or otherwise appropriate adjustment based on the original loyalty transaction.
If a customer has already spent points attributable to a purchase before a later refund or reversal is processed, the resulting loyalty adjustment may cause the customer account to have a negative available points balance. Future eligible points may first reduce that negative balance before points again become available to spend.
A business may optionally configure Manager approval for points redemptions at or above a points threshold selected by that business. When enabled, a qualifying customer request may be presented as a pending high-value claim and points are not deducted until an authorised approval is successfully completed.
To use high-value approval, the business must assign and maintain at least one eligible Manager, Admin or Owner and that person must establish a private Manager Approval PIN. The public customer claim code identifies the pending claim and is not an authorisation credential. The Manager Approval PIN is an authorisation credential and must be kept confidential and entered only by the authorised person on an appropriate staff device.
QiKIOU may retain an audit record of a high-value approval including the customer or loyalty account, reward, points authorised, business and location, configured threshold at the time, processing or approving user, related transaction or voucher and date and time. Historical approval records may remain after a user role, PIN or business setting later changes where retention is reasonably required for security, audit, dispute or legal purposes.
The business is responsible for choosing an approval threshold appropriate to the value and risk of its rewards, appointing suitable authorised personnel, promptly removing or disabling access when authority changes, protecting Manager Approval PINs, and ensuring that approvals are performed by people with appropriate authority. QiKIOU provides and enforces the configured workflow but does not guarantee that all fraud, misuse, credential sharing or unauthorised conduct will be prevented.
The business chooses the points-availability period and approval settings appropriate to its goods, services, refund practices, return periods and commercial risk. QiKIOU provides the available settings and associated loyalty-recording mechanisms but does not determine which settings are commercially appropriate for a particular business.
To the extent permitted by law, the business is responsible for the commercial and financial consequences of the loyalty settings and authorisations it selects or permits, including the decision to make points immediately available, customer use of points before a later refund, uncollectable negative loyalty balances, expired or unused pending points, high-value rewards approved by its authorised personnel, and losses arising from the business’s own refund, return, reward or loyalty policies. Spydore does not assume those business losses merely because QiKIOU provides or administers the selected setting or approval workflow.
Nothing in this section excludes, restricts or modifies any right, guarantee, remedy or liability that cannot lawfully be excluded, restricted or modified, including under the Australian Consumer Law.
The business is responsible for ensuring that its loyalty program, promotions, advertising, reward conditions, refund practices, approval procedures and customer communications comply with applicable law. QiKIOU provides the platform used to administer these settings; Spydore does not become the supplier of the business’s goods or services merely because QiKIOU records or displays a reward.
6. Customer information and privacy responsibilities
The business must only use customer information made available through QiKIOU for lawful purposes connected with its customer relationship, loyalty program, service delivery, support, fraud prevention or other purposes that are properly disclosed and permitted by law.
The business must not sell, scrape, export, combine or use QiKIOU customer information in a way that is unlawful, misleading, unauthorised or inconsistent with applicable privacy, spam, marketing or consumer laws.
Where the business provides customer information to QiKIOU, or authorises a connected service to provide customer information to QiKIOU, the business is responsible for having the rights, notices and permissions reasonably required for that disclosure.
7. Connections to POS, payment and commerce services
QiKIOU may allow a business to connect third-party services such as point-of-sale systems, payment processors, ecommerce platforms or other commerce services (Connections).
Creating a QiKIOU business account does not by itself authorise access to a third-party provider account. Where a Connection requires access to provider data, QiKIOU will require a separate connection process and may require acceptance of a Connections and Data Access Agreement before access is enabled.
The business must have authority to connect each third-party account and to authorise the access, processing and data flows described at the time of connection.
8. Third-party services
Square, Stripe, Lightspeed and other connected providers are independent third parties and are not controlled by Spydore.
A Connection may depend on a third party's API, authentication service, webhook delivery, network availability, account status, permissions, data quality and continued support for the relevant integration.
We do not guarantee that a third-party service will remain available, error-free or compatible with QiKIOU. We may suspend or modify a Connection where reasonably necessary because of a provider change, security issue, legal requirement or technical incompatibility.
9. Transaction and financial information
Where enabled by a Connection, QiKIOU may receive limited transaction, order, refund, location, customer or related metadata needed to provide the enabled QiKIOU service.
QiKIOU is not an accounting system, tax system, bookkeeping service or authoritative financial ledger. Information displayed in QiKIOU should not be relied on as a substitute for the business's payment-provider, POS, accounting or banking records.
The business remains responsible for its accounting, taxation, reconciliation, chargeback, refund and financial reporting obligations.
10. Data minimisation and service records
QiKIOU is designed to access and retain only information reasonably required to provide, secure, audit and support the enabled service.
Some third-party data may be processed transiently and not retained. Other records may be retained where reasonably necessary for loyalty calculations, customer identity matching, duplicate prevention, refunds, reversals, security, audit, billing, dispute resolution, legal compliance or system integrity.
Where possible, QiKIOU may retain references, status information, derived loyalty records or audit metadata instead of duplicating complete third-party financial records.
11. Security and acceptable use
The business must not attempt to bypass authentication, probe or exploit vulnerabilities, inject malicious code, manipulate loyalty balances, interfere with other businesses or customers, scrape restricted data, reverse engineer protected components, or use QiKIOU to conduct unlawful activity.
We may apply rate limits, fraud controls, access restrictions, monitoring, logging and other reasonable safeguards to protect QiKIOU, connected services, businesses and customers.
We may suspend access where we reasonably believe there is fraud, abuse, a security threat, material breach of these Terms, legal risk or a need to protect users or connected systems. Where appropriate, we will provide notice and a reasonable opportunity to resolve the issue.
12. Availability, maintenance and errors
We aim to provide a reliable service but do not promise uninterrupted, real-time or error-free operation.
Interruptions may arise from maintenance, software defects, telecommunications failures, third-party outages, provider API changes, internet connectivity, device issues, malicious activity or circumstances outside our reasonable control.
Where we identify an error affecting loyalty records, we may make reasonable corrections or reversals to restore the intended result.
13. Fees and billing
Paid QiKIOU services, subscription fees, usage charges, redemption charges, introductory pricing and other fees will be disclosed before the relevant paid service is activated.
Where recurring billing is enabled, the business authorises charges in accordance with the pricing and billing terms presented at activation. Taxes such as GST will be applied where required.
Additional billing terms may be presented when a paid plan or chargeable feature is activated.
14. Intellectual property
Spydore and its licensors retain ownership of QiKIOU software, platform design, code, documentation, branding and other intellectual property except for material owned by the business or a third party.
The business grants Spydore a limited permission to host, process, reproduce and display business-provided names, logos, artwork, offers and content only as reasonably necessary to provide and promote the business's participation in QiKIOU.
The business must have the necessary rights to material it uploads or supplies.
15. Suspension and ending the service
A business may stop using QiKIOU or disconnect optional Connections subject to any applicable billing, minimum-term or notice provisions presented for the relevant service.
Ending or disconnecting a service does not necessarily require immediate deletion of all historical records. We may retain information reasonably required for legal obligations, security, fraud prevention, billing, dispute resolution, audit integrity, customer reward integrity and legitimate record-keeping.
Where practical and lawful, information no longer reasonably required will be deleted, de-identified or otherwise managed in accordance with the Privacy Policy.
16. Liability and statutory rights
Nothing in these Terms excludes, restricts or modifies any guarantee, right, remedy or liability that cannot lawfully be excluded, restricted or modified under the Australian Consumer Law or other applicable law.
Subject to those non-excludable rights, neither party is responsible to the other for indirect or consequential loss that was not reasonably foreseeable at the time the agreement was made, to the extent permitted by law.
Spydore is not responsible for losses caused solely by inaccurate data supplied by the business or a third-party provider, unauthorised use caused by the business's failure to protect its credentials, or an independent third-party service failure, except to the extent that Spydore caused or contributed to the loss or liability cannot lawfully be excluded.
17. Changes to these Terms
We may update these Terms where reasonably necessary to reflect changes to QiKIOU, law, security requirements, pricing, third-party services or business operations.
Each published version will have a version number and effective date. We will preserve historical versions used for recorded acceptance.
Where a change is material, we may provide notice and require an authorised business user to accept the updated Terms before continuing to use affected services.
18. Governing law
These Terms are governed by the laws of Queensland, Australia and applicable Commonwealth laws of Australia. The parties submit to the courts with jurisdiction in Queensland, subject to any rights that cannot lawfully be limited.
19. Contact and complaints
Questions about these Terms, account access, billing or the operation of QiKIOU may be directed to Spydore Pty Ltd through the contact channels made available on QiKIOU or Spydore websites.
Privacy matters are handled under the QiKIOU Privacy Policy.
